INKODUS LEGAL TERMS OF SERVICE

1. FORMATION OF AGREEMENT AND ACCEPTANCE

1.1. We are UAB Inkodus (hereinafter – Inkodus), a company registered in Lithuania at Savanorių pr. 178A, Kaunas, Lithuania.

1.2. We operate the website https://inkodus.lt/, as well as all related products and services that reference these Legal Terms (collectively – Services).
These Legal Terms, together with the Privacy Policy, form a binding legal agreement (Agreement).

1.4. This Agreement is a legally binding agreement between Inkodus and the natural or legal person using the Services (Client).

1.5. If you use the Services on behalf of a legal entity, you confirm you have authority to bind that entity.

1.6. By using the Services, the Client confirms they have read, understood, and agree to these Legal Terms.

1.7. If you do not agree to these Legal Terms, you must cease using the Services immediately.

1.8. Inkodus may notify Clients of significant changes. Continued use after changes take effect constitutes acceptance.

1.9. Services may only be used by persons aged 18 or over.

2. SERVICES

2.1. Inkodus provides IT consulting, programming services, dedicated team solutions, and software development.

2.2. Inkodus does not provide legal or accounting advice unless agreed separately.

2.3. The Client is responsible for accuracy and legality of provided data.

2.4. The Client is responsible for final decisions and compliance with applicable law.

2.5. Services are intended for business use only.

2.6. Clients using Services from abroad must ensure compliance with local legislation.

2.7. Inkodus may improve or modify Services at any time.

3. INTELLECTUAL PROPERTY RIGHTS

3.1. All intellectual property related to the Services belongs to Inkodus or its licensors.

3.2. Inkodus grants a limited, non-exclusive, non-transferable license for internal business use.

3.3. The Client may not:

• Copy or extract methodologies or source code
• Create derivative works
• Resell or sublicense Services
• Develop competing products

3.4. All trademarks and logos are property of Inkodus or partners.

3.5. The Client retains ownership of submitted data.

3.6. Feedback provided by the Client may be used by Inkodus without restriction.

4. USE OF SERVICES

4.1. License granted is limited, non-exclusive, non-transferable, and revocable.

4.2. The Client may not:

• Use intellectual property without permission
• Create derivative works
• Resell or commercialise Services
• Develop competing products

4.3. No Content may be reproduced without written consent.

4.4. Requests for permission must be submitted to info@inkodus.lt.

4.5. All rights not expressly granted are reserved.

4.6. Violations may result in immediate suspension.

5. CLIENT DATA AND LIABILITY

5.1. By submitting data, the Client confirms:

• Data is lawful and accurate
• No third-party rights are infringed
• Required permissions are obtained
• No confidential data is submitted without agreement
• Content is not unlawful or discriminatory

5.2. The Client agrees to indemnify Inkodus for losses arising from breach.

6. CLIENT OBLIGATIONS AND WARRANTIES

6.1. The Client confirms:

• Information provided is accurate
• Authority to enter into Agreement
• Use is for lawful business purposes

6.2. Inkodus may suspend Services if terms are breached.

7. PAYMENTS AND PRICING

7.1. Services are provided according to agreed pricing.

7.2. Pricing is defined in separate agreements or offers.

7.3. Inkodus may amend pricing with notice.

7.4. Payment terms are set out in agreement or invoice.

7.5. Late payment may result in suspension or interest charges.

7.6. The Client is responsible for applicable taxes.

7.7. Invoices are issued electronically.

8. PROHIBITED ACTIVITIES

8.1. Services must be used only for intended purposes.

8.2. The Client is prohibited from:

• Unlawful or fraudulent use
• Intellectual property misuse
• Developing competing services
• Submitting misleading information

8.3. Violations may result in immediate termination.

9. PRIVACY AND DATA PROTECTION

9.1. Personal data is processed in compliance with GDPR.

9.2. Privacy Policy is available at here.

9.3. Use of Services confirms acceptance of Privacy Policy.

10. TERM AND TERMINATION

10.1. Agreement remains in force while Services are used.

10.2. Inkodus may terminate for breach.

10.3. Inkodus may terminate with notice.

10.4. Upon termination:

• Right to use Services ceases
• Paid fees are non-refundable
• Surviving provisions remain in effect

11. CHANGES TO SERVICES

11.1. Inkodus may update Services at any time.

11.2. No guarantee of uninterrupted availability.

11.3. Services provided “as is”.

12. LIABILITY, GOVERNING LAW, AND JURISDICTION

12.1. Liability limited to fees paid in the preceding 3 months.

12.2. Governed by laws of the Republic of Lithuania.

12.3. Disputes resolved in Lithuanian courts at Inkodus registered seat.

13. COMMUNICATIONS AND MISCELLANEOUS

13.1. Electronic communications have equal legal force.

13.2. These Terms constitute the entire agreement.
